技术：根据甲方现有技术生产。

价格：生产10000桶，按62元/桶结算，

生产20000桶，按61元/桶结算， 生产30000桶，按60元/桶结算，

超过40000桶，价格另行协商。（以上价格含包装）

质量：甲方根据JC/T438-2006标准生产，样品经乙方确认后封样，作为生产标准和检验依据。每批产品出厂附甲方检验报告。

原辅材料：由甲方提供。 包装：由乙方提供包装设计及印刷制版，制版费由乙方承担，甲方代寻加工厂家，桶式与设计要求需经乙方认可。

交货方式及结算：甲方根据乙方订单生产，厂门交货，同时开具增值税发

票；如需甲方协助乙方代找运输车辆，甲方以乙方利益为重，尽可能以最低价与物流联系，并报乙方确认，运输费由乙方支付。 三、核算

双方所涉费用往来每月25日核对，次月月初付款，节假日顺延。 四、保密

双方对合作中所涉保密内容按洽谈要求进行密级管理。 五、其他

1．本协议一式两份，甲、乙方签章后生效，并各执一份为凭。 2．本协议未尽事宜，双方协商解决。

Technology: Subject product shall be manufactured pursuant to the existing technology employed by Party A.

Prices: 10,000 barrels, RMB 62.00;

20,000 barrels, RMB 61.00; 30,000 barrels, RMB 60.00;

> 40,000 barrels, as discussed further.

(Note: All the above prices cover package costs.)

Quality: Party A shall conduct its production according to JC/T438-2006. Samples should be sealed upon confirmation by Party B, as the production standards and inspection basis. Each batch of products shall be accompanied by Party A’s inspection report while leaving the factory.

Raw and auxiliary materials: Party A’s responsibility

Package: Party B shall provide the design drawing and the printing plate of package and shall assume the plate charges. Party A is responsible to seek the processing

manufacturer thereof, subject to the approval of Party B on barrel model and design requirements.

Delivery Mode and Settlement: Party A shall carry out its production according to Party B’s orders, goods delivered ex-factory, invoice issued simultaneously. If it is necessary for Party A to assist on the transportation vehicles, Party A shall, in the benefit of Party B, use its best efforts to make a deal at the lowest price with the logistics company and report the same to Party B for confirmation. The transportation costs shall be paid by Party B.

Accounting

The expenses involved herein shall be checked by both parties on the twenty-fifth day of each month. Payment date is around the early of next month and shall be extended while falling upon the holiday.

4 Confidentiality

Both parties shall, in accordance with the agreed requirements, keep in strict confidence to the confidential information which they may have access to during the cooperation under this Agreement.

5 Miscellaneous

5.1

This Agreement shall be made in duplicate, with each party holding one copy and shall come into effect upon execution of both parties hereto.

5.2 The uncovered matters herein shall be settled by both parties through consultation.
